General Terms & Conditions (GTC)
1. Scope
1.1 These General Terms and Conditions (hereinafter "GTC") apply to all contracts for the delivery of goods concluded between
OEM HYDRAULICS GmbH, Vogelsanger Weg 91, 40470 Düsseldorf, Germany
(hereinafter referred to as the "Seller")
and its customers (hereinafter referred to as the "Customer") via the Seller’s online shop.
1.2 This online shop is primarily intended for business customers (entrepreneurs).
However, consumers may also place orders subject to the applicable consumer protection laws.
1.3 A consumer within the meaning of Section 13 of the German Civil Code (BGB) is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.
An entrepreneur within the meaning of Section 14 BGB is a natural or legal person or a partnership with legal capacity who acts in the exercise of their commercial or independent professional activity.
2. Conclusion of Contract
2.1 The product descriptions contained in the online shop do not constitute binding offers on the part of the Seller, but serve to submit a binding offer by the Customer.
2.2 The Customer may submit the offer via the online order form. By clicking the button concluding the ordering process, the Customer submits a legally binding contractual offer.
2.3 The Seller may accept the Customer’s offer within five (5) working days by sending an order confirmation by e-mail or by dispatching the goods.
3. Right of Withdrawal
3.1 Consumers are entitled to a statutory right of withdrawal.
3.2 The right of withdrawal applies exclusively to consumers within the meaning of Section 13 BGB.
3.3 Business customers (entrepreneurs within the meaning of Section 14 BGB) are not entitled to a right of withdrawal.

4. Prices and Payment Terms
4.1 Unless otherwise stated in the product description,
prices are shown
– inclusive of statutory VAT for customers within Germany,
– net of VAT for business customers within the European Union who provide a valid VAT identification number, in accordance with the reverse charge mechanism,
– net of VAT for customers outside the European Union.
4.2 Any applicable shipping costs are calculated based on the destination country and the total order weight and are displayed separately during checkout.
4.3 The following payment methods are available, subject to availability:

4.4 Unless otherwise agreed, all orders are processed on the basis of advance payment. After review of the order, the customer will receive an order confirmation, which constitutes acceptance of the contractual offer. Order processing and dispatch preparation begin after order confirmation.
4.5 The invoice amount is payable immediately after order confirmation, unless different payment terms have been expressly agreed.
5. Delivery and Shipping Conditions
5.1 Delivery within Germany is free of charge for orders with a minimum order value of EUR 150. For orders below this amount, shipping costs are displayed during checkout.
5.2 For deliveries outside Germany, shipping costs are calculated based on the destination country and the total order weight and are displayed during checkout. Shipment is arranged by the seller using its logistics partners.
5.3 Orders are usually ready for dispatch within 1–3 working days after order confirmation, unless a different dispatch time has been individually agreed and stated in the order confirmation.
5.4 Orders with a total weight of up to 60 kg are shipped using standard delivery methods. Orders exceeding 60 kg require an individual freight quotation; in such cases, delivery will only take place after agreement on the shipping conditions.
5.5 Delivery times may vary depending on destination and logistical processing and are non-binding unless expressly agreed otherwise.
6.Retention of Title
The goods remain the property of the Seller until full payment of the purchase price has been received.
7.2 For business customers, the warranty period is limited to twelve (12) months from delivery of the goods, unless mandatory statutory provisions provide otherwise.
8. Liability
8.1 The Seller shall be liable without limitation for damages resulting from intent or gross negligence, as well as for injury to life, body or health.8.2 In cases of slight negligence, the Seller shall only be liable for the breach of essential contractual obligations, limited to foreseeable, contract-typical damages.
8.3 Any further liability is excluded to the extent permitted by law.
9. Applicable Law
The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of their country of residence.
